VERTX ENGINEER TERMS

These Engineer Terms are the agreement between VERTX TALENT LTD (Company No. 16902446, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ) ("VERTX", "we", "us") and you, as an independent engineer in the VERTX network. You accept them once, on the Platform, and the text you accepted is stored with your acceptance.

They sit alongside the VERTX Terms of Service, which cover your use of the Platform, including Remi. Where the two cover the same point, these Engineer Terms govern your engagements.

Each engagement with a company is recorded on the Platform when you accept it: the company, the start date, the days a week, your fee and the notice that applies. That record forms part of these Terms for that engagement.

1You work for yourself

You provide your services as an independent contractor. You are not an employee, worker or agency worker of VERTX or of any company, and no employment, partnership or agency relationship is created.

You are responsible for your own income tax, social security and any equivalent contributions where you live, and for any registration your country requires in order to invoice a foreign company. VERTX does not run payroll for you and makes no deductions from your fee.

You decide how you do the work, within the days you have agreed and any working hours recorded for the engagement. You provide your own equipment unless a company gives you specific access for security reasons.

Where you work. You perform the services only from your country of residence recorded on the Platform, which is outside the United Kingdom, and wholly outside the United Kingdom. You confirm that you are not resident in the United Kingdom, and you will tell VERTX before you change your country of residence. Your country of residence and tax residence are recorded when you apply, and are changed only through VERTX Support, so that your Regional Schedule, invoices and payments stay correct. You have no authority to bind VERTX or any company, and you will not say or act as if you do. You have no fixed place of business in the United Kingdom, and you will not use one for this work.

Visits to the United Kingdom, and moving there. You must tell VERTX in writing at least ten (10) business days before (a) any visit to the United Kingdom during an engagement, giving the dates and the purpose, or (b) any proposed move to the United Kingdom. During a visit you must not perform the services, or do any work for a company, unless VERTX has confirmed in writing that you may. Activities that the UK Immigration Rules allow for visitors, such as attending a meeting, are allowed only if VERTX has approved them in advance.

Work in the United Kingdom. Before you perform any services in the United Kingdom, you must complete with VERTX a right to work check of the kind UK law prescribes, and any follow-up checks, and VERTX must have confirmed in writing that you may perform the services there. You must tell VERTX at once if your UK immigration status changes.

Evidence of where you work. On reasonable request you will give VERTX evidence of where you are working, such as a short video check-in, and VERTX keeps a record of the check.

Breaking any of the rules in "Where you work", "Visits to the United Kingdom, and moving there" or "Work in the United Kingdom" is a material breach of these Terms, and VERTX may suspend or end the engagement at once.

Age. You confirm that you are 18 or over.

If any tax, social security, interest or penalty is claimed from VERTX because of your status, or because you did not pay or register as you should have, you will repay VERTX that amount and its reasonable costs.

2Your fee comes from us, not from the company

Who pays you. VERTX contracts as principal. It agrees the supply of services with each company under a separate agreement, to which you are not a party, and separately engages you under these Terms to deliver them. VERTX is the only person who owes you a fee, and it pays you from its own funds. You have no claim against a company, and a company has none against you for payment.

How it is worked out. Your fee is your agreed day rate for each day you work. A day you do not work, because you took it off, were ill or the company closed, is not paid and is not owed.

When you are paid. Each working week is reviewed for seven (7) days after it ends, so that anything wrong with it can be raised. When a week's review closes, that week is paid on the next VERTX pay date. VERTX pay dates fall every fourteen (14) days and are shown in your Earnings. This is the same whether the company pays VERTX weekly or monthly.

A week that is questioned. Only a week about which a serious issue has been raised within its review, such as work not done or fraud, can be held, and only while it is decided. VERTX will tell you what has been raised, will hear your side, and will decide within five (5) working days of hearing it. Any part not found against you is paid on the next pay date after the decision. Every other week is paid as normal.

Where it goes. Payment is made to a verified account in your own name, or in the name of your registered company where you contract through one. VERTX does not receive, hold or pass on money on your behalf: what a company pays VERTX is VERTX's own money, and your fee is VERTX's own debt to you.

Not a wage. Your fee is not a wage or a salary, and it is not a share of what a company pays VERTX.

Invoices (self-billing). For each billing period, VERTX prepares and issues an invoice on your behalf (a "self-billed invoice"), worked out from your agreed day rate and the days delivered and reviewed in that period. You agree that:

(a) you will not issue your own invoice to VERTX for the same services, except under (e);

(b) you accept each self-billed invoice as a valid invoice for those services;

(c) if a self-billed invoice is wrong, you tell VERTX within seven (7) days of its issue and VERTX corrects it; if you do not, it is treated as accepted;

(d) the tax identification number, address and legal status you have given VERTX are correct, and you will tell VERTX within fourteen (14) days of any change, including registering for VAT or sales tax, starting to trade through a company, becoming resident in the United Kingdom, or planning to work any day in the United Kingdom;

(e) where the law of your country requires you to issue your own invoice, receipt or e-invoice for these services (for example an e-SMM or e-Arşiv document in Türkiye, or a VAT tax invoice in South Africa if you are a VAT vendor), or where your Regional Schedule says that you invoice VERTX yourself (as in Romania), you issue it for the same amount and in the same currency and send VERTX a copy through your dashboard within seven (7) days, and VERTX's document is then a payment statement only; and

(f) this arrangement runs from your acceptance of these Terms, is reviewed every twelve (12) months, and ends when these Terms end.

You are solely responsible for your own taxes and social contributions on your fee. VERTX withholds nothing from it.

3Nothing is taken from your fee

No charge to you. VERTX never charges you to use the Platform, to be assessed or to be introduced to a company.

Nothing taken out. VERTX takes no commission, platform fee or other deduction from your fee, and withholds no tax from it. Your fee is paid in full to your verified account. Your own bank or payment provider may charge you for receiving or converting it; VERTX does not.

4Working only on cleared days

Only work you are cleared to do. You work only on days VERTX has cleared for that engagement. If VERTX tells you to stop, including because a company has not paid for the days ahead, you stop from the next working day and do not start again until VERTX tells you that you may. Every day you worked before the instruction is paid. A day worked after it is not work under these Terms and no fee is owed for it.

Why. A company pays for its days before they are worked. No day is worked that has not been paid for, so you are never asked to work a day that no one will pay for.

5Company work belongs to the company once paid

You assign to VERTX, by present assignment of present and future copyright and all other intellectual property rights, all rights in the work you produce in an engagement, each assignment taking effect when the company has paid VERTX for the week in which the work was produced. VERTX assigns those rights on to the company.

Where a right cannot be assigned in advance, you assign it when it comes into being and hold it on trust for VERTX until the assignment takes effect. You waive any moral rights in that work to the extent the law allows.

You confirm that the work is your own and that you are free to assign it. If a previous employer or client owns something you would otherwise use, tell VERTX before you use it.

6What you built before stays yours

Anything you created before the engagement, or outside it, stays yours ("Pre-Existing IP"). Where your work includes Pre-Existing IP, you give VERTX and the company a permanent, worldwide, royalty-free licence to use it as part of that work.

Nothing in these Terms gives VERTX or a company ownership of your Pre-Existing IP.

7You are free to work elsewhere

You are free to work for anyone else at the same time, on any other platform. VERTX does not ask for exclusivity.

No promise of work. VERTX does not promise you any amount of work, and you are free to turn down any engagement. Turning one down costs you nothing.

Your other work. You confirm that no employment contract or other agreement stops you doing this work, or gives anyone else rights in the work you do through VERTX. Tell VERTX straight away if that changes.

Clause 8 covers only companies and opportunities you reach through VERTX. It does not stop you working with anyone else, or continuing a relationship you had with a company before VERTX introduced you.

8Do not go around us

While you work with a company through VERTX, and for twelve (12) months after you last had access through the Platform to that company or one of its opportunities, you must not, directly or indirectly, contract with, invoice, take payment from or look for work from that company outside VERTX.

You must not ask for or accept payment for VERTX work other than through VERTX. If a company asks you to work with it directly, tell VERTX promptly rather than agreeing. A company may hire you directly through VERTX on the terms VERTX agrees with it.

Clause 7 explains what this clause does not cover.

9Your rate is between you and us

Do not discuss or disclose your fee, your rate or any VERTX rate or fee structure to any company, to any other engineer, or to anyone else, except your own professional advisers, a tax authority, or where the law requires it. Anything about money with a company goes through VERTX; you do not negotiate with a company and are not asked to.

10Ending an engagement

The first twelve working days. In your first twelve (12) working days with a company, you or VERTX may end the engagement with one (1) working day's notice.

After that. Either of us may end an engagement with fourteen (14) days' notice.

At once. VERTX may end an engagement straight away for a serious breach of these Terms, for dishonesty in assessment or identity, or where the law or a sanctions screening requires it.

Being paid at the end. However an engagement ends, every day you worked up to the end is paid, under Clause 2.

Substitution. VERTX may offer a company a different engineer at any time. You may not send someone else to do your work without VERTX's written agreement.

11What you promise us

You confirm that: (a) the identity you verified with us is your own; (b) you are legally free to provide these services where you live; (c) nothing from a previous engagement stops you doing this work; and (d) your profile is accurate, including what Remi helped you write, which you have read.

You will do the work with reasonable skill and care, to the standard expected of an engineer at the level you were assessed at.

12Keep confidential information confidential

What it covers. Confidential information is anything you learn through VERTX or an engagement that is not public: a company's code, systems, credentials, data, customers, plans, and its business and pricing information, and VERTX's own business, pricing and platform.

How you treat it. You use it only to do the engagement it came from. You do not share it with anyone who does not need it for that work, and you do not keep it for yourself.

At the end. When an engagement ends, or earlier if VERTX or the company asks, you return or delete it, including copies on your own devices and accounts, and confirm that you have.

What it does not cover. Information that is public through no fault of yours, that you already had lawfully, or that the law requires you to disclose, in which case you tell VERTX first where the law allows.

13Security and AI tools

The company's rules. You follow each company's security and access rules, and use only the accounts and access it gives you. You also follow the VERTX Security and Acceptable Use Policy, which forms part of these Terms.

AI tools. You use AI tools only in the way the company allows. You never put a company's confidential code or data into any AI tool or other service that keeps it, shares it or trains on it.

Your credentials. Your access is personal. You keep passwords, keys and tokens to yourself, and never share an account.

If something goes wrong. You tell VERTX within twenty-four (24) hours of any security incident, or any suspected leak of a company's code, data or credentials, and help put it right.

14Personal data

Where you handle personal data for a company, you act only on that company's instructions, keep it secure, do not copy it out of the company's systems, and do not use it for anything else. You report any breach or suspected breach to VERTX within twenty-four (24) hours. The data protection terms VERTX has agreed with that company apply to what you do with it.

15Compliance

You confirm that you are not a person named on a sanctions list, and are not owned or controlled by one, and you will tell VERTX at once if that changes. You will not offer, give or accept a bribe or any improper payment in connection with your work. You will tell VERTX at once of any conflict of interest, including any other work for a company's competitor that could affect an engagement.

16Suspension

VERTX may suspend an engagement while it looks into a serious concern, such as security, fraud, identity or a breach of these Terms. Every day you worked before the suspension is paid under Clause 2. If the concern is not upheld, the engagement resumes.

17Liability

Neither of us is liable to the other for indirect or consequential loss.

Your liability to VERTX under these Terms is capped at the total fees paid to you in the three (3) months before the claim, except for a breach of Clause 5, 8, 9, 12, 13 or 14, a claim under the tax and status promise in Clause 1, fraud, or anything that cannot be limited by law.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

18Your Regional Schedule

The country you live in has a Regional Schedule covering local registration, invoicing, tax and payment requirements. It supplements these Terms and forms part of them.

Where your Schedule conflicts with these Terms, these Terms prevail, except where the Schedule states a requirement of the law of your country, in which case the Schedule applies on that point.

You can read your full Schedule at any time in Paperwork on your dashboard, and Remi explains it when you set up how you are paid. The version in force on the day an engagement starts applies to that engagement.

19General

Law. These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

Changes. VERTX may update these Terms with fourteen (14) days' notice by email and on the Platform. If a change materially affects your rights, you will be asked to accept the new version, and an engagement already running continues on the version you accepted for it until it ends or you accept the new one.

Surviving the end. Clause 1 (as to tax and status), and Clauses 5, 6, 8, 9, 12, 13, 14 and 17, survive the end of an engagement.

Entire agreement. These Terms, the VERTX Terms of Service, your Regional Schedule and each engagement record are the whole agreement between you and VERTX about your work.

Third parties. Only you and VERTX may enforce these Terms, except that any member of the VERTX group of companies may enforce them. A company you work for through VERTX may not.

Language. If these Terms are shown to you in another language, the English version is the one that applies.

VERTX Talent Ltd, Engineer Terms version 8.5, in force from 12 October 2026, England and Wales.
