VERTX UK HIRING PLAN TERMS
These UK Hiring Plan Terms are between VERTX TALENT LTD (Company No. 16902446, registered office 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ) ("VERTX", "we", "us") and the company named when they are accepted on the Platform (the "Company", "you"). The person accepting confirms that they are authorised to accept for the Company. The text accepted, its version and who accepted it are stored with the acceptance.
They cover hiring people who live in the United Kingdom directly, as your employee or your own contractor ("UK hiring"). They do not cover engineers you engage through VERTX's contracting service, which stays under the VERTX Master Services Agreement and is never affected by your plan.
UK Hiring plans are for businesses only. In UK hiring, VERTX acts as an employment agency: we introduce candidates, and you employ or engage them directly.
1What each plan includes
1.1Free. One open UK role and three (3) UK introductions in total. No payment details are needed.
1.2Standard. Two (2) open UK roles at once, £99 a month, or £79 a month on a 1-year plan. You can add one (1) extra open UK role for £49 a month, so up to three (3) open UK roles at once; for more, move to Growth. The extra role is month to month, including on a 1-year plan, and is paid with the same payment method as your plan; if you remove it, it stops at the end of the month already paid. Standard includes fifteen (15) UK introductions in each calendar month. The allowance resets on the first day of each month and unused introductions do not carry over. Candidates already introduced carry on as normal; when the month's allowance is used, new introductions wait until it resets or until you move to Growth. You can close a role at any time, but a new role can replace it only once the role has been open for at least fourteen (14) days, unless you hired someone for it. Closed roles are archived and Remi stops searching for them.
1.3Growth. Up to five (5) open UK roles at once, which you can swap at any time, £249 a month, £199 a month on a 1-year plan, or £179 a month paid for a year upfront (£2,148). It includes unlimited UK introductions; saved searches that keep watching for new candidates, including for closed roles; a first look at newly verified UK candidates, who are shown to Growth roles seventy-two (72) hours before they are shown on other plans; promotion of your open roles to UK candidates; and priority support. You can add extra open UK roles for £59 a month each. Extra roles are month to month, on every Growth plan including 1-year and upfront plans, and are paid with the same payment method as your plan; an extra role you remove stops at the end of the month already paid. You can add up to twenty (20) extra roles on the Platform, and more by agreement with us.
1.4On every plan: interviews arranged through the Platform, unlimited team seats (clause 1.7), and no hiring fee for anyone you hire.
1.5A role is a job you are hiring for, such as "Senior backend engineer, Manchester". You can hire as many people as you like from one role. Contractor roles never count towards your UK roles.
1.6An introduction is counted when a candidate says yes to meeting you. On Free and Standard, a request that is still waiting for an answer holds one of your places until they answer; if they say not now, the place comes back.
1.7Team seats. Every plan, including Free, includes unlimited team seats at no extra cost for people in your company who hire with you, such as hiring managers, HR and decision makers. Each person uses their own login, and everyone acts for the Company under these Terms.
2Fair use
2.1One plan is for one company. You may not share an account, a plan or its introductions with another company, including a client, a group company or a recruitment business you work with.
2.2You may only use the Platform to hire for your own company. Recruiters, agencies and other third parties hiring for someone else need our written agreement first.
2.3We may pause UK hiring on an account that breaks these rules, and will tell you why.
2.4If you see content on the Platform that is unlawful or should not be there, report it through our Report content page (vertxtalent.io/legal/report-content).
3Paying for your plan
3.1Plans are billed monthly in advance (or for the year in advance on Growth paid upfront), by Direct Debit or card. Prices are in pounds sterling. VERTX is not VAT-registered, so no VAT is added; if that changes we will tell you first.
3.2Monthly plans run month to month. Cancel any time and your plan runs to the end of the month you have paid for.
3.3Free trial (Standard only). The first time your company chooses Standard it has a free trial of seven (7) days. There is one free trial per company, identified by its Companies House number. You add a card or Direct Debit when you choose Standard, but the seven days start only when the first candidate says yes to meeting you (your first introduction): no match, no charge. We remind you on day five (5) of the trial. If you cancel before the trial ends, nothing is charged. Otherwise your first payment is taken on day eight (8). If you chose a 1-year plan, its twelve (12) months start on day eight, and the trial is your cooling-off period, so clause 3.5 does not give you a second one. If you move to Growth before or during the trial, the trial ends and Growth is paid from that day. An extra role added during the free trial is charged with your plan from day eight (8). Growth has no free trial.
3.41-year plans are a 12-month commitment at the lower yearly price, still paid monthly. If you leave before the 12 months are up, you pay an early exit fee equal to the discount you actually received: the number of months you have paid at the yearly price, multiplied by the difference between the monthly price and the yearly price (£50 a month on Growth, £20 a month on Standard). Months paid at the monthly price before you moved to a 1-year plan do not count. The fee is never more than the yearly payments that would have been left for the rest of the 12 months. Nothing else is due.
3.5Cooling-off. Within seven (7) days of a 1-year commitment starting (including Growth paid upfront), you can cancel it, the plan ends straight away, and we refund in full what you paid for that commitment. This does not apply to a 1-year plan that started after a Standard free trial (clause 3.3).
3.6Yearly paid upfront (Growth only) is paid for the whole year in one payment at the start of that year. If you switch to it part-way through a plan, your current plan carries on unchanged until your next renewal date, and the upfront year and its payment start on that date. If you leave early (after clause 3.5), your plan runs to the end of the current month and we refund the upfront payment less the months used, each month used recalculated at the monthly price (£249 a month on Growth); a month that has started counts as used. Extra roles are not part of the upfront payment: they are billed monthly under clause 1.3.
3.7If a payment fails, we tell you straight away by email and on your dashboard, and we try again automatically for seven (7) days. During those seven days you keep your plan, your open roles and your conversations, but you cannot open new or extra UK roles or move to a higher plan. If the payment is still unpaid after seven days, the Free plan's limits apply until it is paid: roles over the Free limit are paused, not closed, nothing is deleted, and paying restores your plan straight away.
3.8Reversed payments. If a payment you have made is reversed, for example by a card chargeback or a Direct Debit reclaim, the amount becomes due again straight away, we tell you, and the Free plan's limits apply straight away until it is paid, as clause 3.7 describes. A reversal does not cancel your plan. If a payment was taken in error, tell us and we will put it right.
3.9We may change our prices for the future with at least thirty (30) days' notice. A 1-year plan keeps its price until its year ends.
3.10Keeping a way to pay. We can add a way to pay only once your company is verified. While a paid plan is live, you must keep a way to pay on your account: you can remove a card only after adding another way to pay (your plan then moves to it), or by cancelling the plan.
4Cancelling
4.1You can cancel from your Plan page at any time, in two clicks. Your plan runs to the end of the period already paid for, except that a cancellation during a free trial ends the plan straight away with nothing charged (clause 3.3), a cancellation within the cooling-off period ends it straight away with a full refund (clause 3.5), and a year paid upfront ends at the end of the current month with a refund (clause 3.6).
4.2When a plan ends, the Free plan's limits apply: roles over the Free limit are paused, not closed, and nothing is deleted. Your UK roles stay readable and your matches stay visible. People you have already hired stay hired, and nothing changes for them.
4.3Cancelling has no effect on contractor engagements through VERTX, their timesheets, invoices or payments, and no effect on past hires.
4.4You can start a plan again at any time.
5What VERTX does and does not check
5.1UK candidates are not assessed by VERTX. Remi matches them to your role on their CV, profile and the evidence they give, against the criteria you set. You decide whom to interview and hire.
5.2Before a UK candidate is shown to you, VERTX confirms their email address, that they have a UK mobile number, and their right to work (clause 6). If something on a profile needs a closer look, we may also ask the candidate to verify their identity before they are shown. There is no separate identity badge.
5.3VERTX does not carry out background, criminal record or reference checks. As the employer or client, you carry out any checks you need before you employ or engage anyone, including your own right-to-work check (clause 6).
5.4You and the candidate agree the pay and terms yourselves. VERTX does not propose or negotiate pay, and anything you record about pay on the Platform is private to you and the candidate.
5.5Interviews. You arrange interviews with UK candidates through the Platform and hold them in the meeting tool you choose (for example a video call, a phone call or in person); add the details to the interview so that the candidate has them. Where VERTX's own video is offered for an interview, it is provided by our video provider and is recorded only if both you and the candidate agree on the join screen. You must not record an interview in any tool unless the candidate has agreed before the recording starts.
6Right to work
6.1VERTX checks the right to work in the UK of every UK candidate before showing their profile to any company, for VERTX's own compliance with section 15 of the Immigration, Asylum and Nationality Act 2006 (as extended by section 48 of the Border Security, Asylum and Immigration Act 2025). The "Right to work checked by VERTX" indicator records that check and its date, and nothing more.
6.2VERTX's check does not give you a statutory excuse. If you employ or engage a person you meet through VERTX, you are responsible for carrying out your own prescribed right to work check before their employment or engagement starts, any follow-up checks, and keeping your own records. In short, you carry out the right-to-work check for your own hire.
6.3You must not employ or engage anyone introduced through VERTX to work in the UK until you have completed that check. You must tell us promptly if your check shows that a person introduced by VERTX does not have the right to do the work in question.
6.4You must not ask candidates about their nationality or immigration status except as part of a lawful right to work check carried out in the same way for every candidate.
7Information about roles and candidates
7.1Before we introduce candidates for a UK role, you must give us, through the role on the Platform, enough information to select suitable people, including: your company and what it does; the job title, type of work, where it is done and the hours; when it starts and how long it lasts (or that it is permanent); the experience, training, qualifications and any legal or professional authorisations it needs; the minimum pay, other benefits and how often pay is made; notice periods; any expenses payable; and any known health and safety risks and the steps you take about them. We pass this to candidates before asking whether they want to meet you, so it must be accurate, and you must tell us if it changes.
7.2When we propose a candidate, we give you the information we hold about them that is relevant to the role, and we only put a candidate in touch with you after they have told us they want to be considered for it.
7.3If, within three months of introducing a candidate to you, we receive information suggesting they may be unsuitable for the role, we will tell you without delay.
7.4We do not show a candidate's profile to their current employer unless the candidate has agreed, so some candidates may be hidden from you.
8Candidate data and fair treatment
8.1Candidate details you receive through VERTX are personal data. You receive them as a separate controller and are responsible for complying with data protection law in how you use them. Our Privacy Policy explains what we do.
8.2You may use candidate details only to consider and recruit those candidates for your own roles. You must not copy, scrape or export profiles in bulk, share them with anyone outside your company (except service providers acting for you under a written agreement), use them for marketing, or contact candidates about anything other than your roles.
8.3You must keep candidate details secure and confidential, give access only to people in your company who need it, and delete the details of a candidate you do not hire within six (6) months of deciding not to proceed, unless the law requires you to keep them longer.
8.4You must tell us without undue delay, and in any case within forty-eight (48) hours, if candidate details you received through VERTX are lost, disclosed or accessed without authority.
8.5You must not discriminate against any candidate unlawfully, including in the criteria you set, what you tell Remi, and your decisions. You must not ask candidates about their health or any disability before offering them work, except as the Equality Act 2010 allows (for example, to make adjustments for an interview). We refuse role criteria that rely on protected characteristics.
9Employment status and IR35
9.1If you engage a person as your own contractor, you decide their employment status and are responsible for it, including any assessment and obligations under the off-payroll working rules (IR35), tax and National Insurance. VERTX gives no advice on status or tax and is not a party to the engagement.
10Confidentiality
10.1Each of us will keep confidential any non-public information the other shares through the Platform (including your roles, and candidate details as clause 8 says) and use it only for UK hiring under these Terms, except where the law requires disclosure.
11No hiring fee, and candidates never pay
11.1There is no hiring fee, success fee or placement fee for anyone you hire through a UK Hiring plan.
11.2Candidates never pay VERTX anything, and you must never ask a candidate to pay anything to be introduced, interviewed or hired.
12Liability
12.1VERTX's total liability under these Terms is limited to the plan fees you paid in the twelve (12) months before the claim.
12.2Neither of us is liable for loss of profit, revenue or goodwill, or for indirect or consequential loss.
12.3Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law. Clause 12.1 does not limit amounts you owe for your plan.
12.4VERTX does not guarantee a candidate's performance or suitability. You remain responsible for your own checks as employer or client, as clauses 5.3 and 6.2 say.
13General
13.1These Terms, with the plan recorded on the Platform, are the whole agreement for UK hiring. If they conflict with the MSA on UK hiring, these Terms govern.
13.2A hire made under the earlier VERTX Placement Terms stays under those terms.
13.3We may update these Terms. We will tell you at least thirty (30) days before a change that affects you takes effect, and you can cancel before then.
13.4These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
